Memorandum and Articles of Association

When registering a company you need the following items:

  • Memorandum of association. This is a legal statement signed by all initial shareholders agreeing to form the company.
  • Articles of association. These are the written rules about running the company, agreed by the shareholders, directors and the company secretary.
     

Memorandum of association

If required, the memorandum of association template referenced below can be used. Be aware that you cannot update the memorandum once the company has been registered.

Articles of association

Standard articles of association (known as ‘model articles’) can be used, these can be seen in the Companies House guidance linked below. You can write your own articles but if you do, you cannot register the company online.
